01Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," "you") and Digixon ("Digixon," "we," "us," "our"), governing your access to and use of digixonmedia.com (the "Website") and any service offered under the Digixon name, including but not limited to Digixon Media, Digixon Consulting, Digixon Tech, Digixon Sales Hub, Digixon Academy, Digixon Films, Digixon Publication, Digixon Art, Digixon Hire, and Digixon i2i (collectively, the "Services").
By accessing the Website, submitting an enquiry, enrolling in a course, applying to a role, submitting a proposal, or engaging Digixon for any Service, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree, please discontinue use of the Website and Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
02Definitions
- "Client" means any individual, business, or institution that engages Digixon for a paid or free Service.
- "Deliverables" means any work product created by Digixon for a Client under a specific engagement — including but not limited to strategy documents, creative assets, code, films, written content, and campaign materials.
- "Statement of Work" or "SOW" means a separate written agreement, proposal, or contract that defines the scope, fees, and timeline of a specific engagement, and which these Terms supplement.
- "User" means any visitor to the Website, including prospective clients, applicants, students, authors, artists, and job candidates.
- "Content" means all text, graphics, images, video, audio, and other material appearing on the Website or produced as part of the Services.
03Scope of Services
Digixon operates as a multi-vertical marketing and business enablement group. The Services currently offered include, without limitation:
- Digixon Media — content, social media, and brand storytelling.
- Digixon Consulting — marketing and branding strategy, go-to-market planning.
- Digixon Tech — websites, marketing technology, and platform development.
- Digixon Sales Hub — outsourced sales and lead generation, including for education, real estate, and insurance clients.
- Digixon Academy — paid marketing courses and training programmes.
- Digixon Films — ad films, product shoots, and brand film production.
- Digixon Publication — author publishing, editing, printing, and promotion services.
- Digixon Art — editorial coverage of regional artists, art forms, and cultural events.
- Digixon Hire — recruitment and staffing services, delivered in partnership with third-party recruitment partners.
- Digixon i2i — a quarterly, no-cost marketing consultation programme for eligible early-stage businesses.
Each Service may be governed by additional terms specific to that vertical, as set out in Sections 11–14 of this document and in any applicable SOW. Where a conflict exists between these general Terms and a signed SOW for a specific engagement, the SOW shall prevail for matters it expressly addresses.
04Eligibility & Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to engage Digixon's paid Services, enter into a contract, or submit a proposal on behalf of a business. Digixon Academy enrollments, i2i applications, career applications, and client engagements may require you to provide accurate registration information, which you agree to keep current.
You are responsible for maintaining the confidentiality of any login credentials issued to you and for all activity that occurs under your account.
05Client Engagements & Statements of Work
Specific client engagements — across any vertical — are governed by a separate, signed Statement of Work, proposal, or service agreement that sets out the scope of work, fees, timelines, and deliverables for that engagement. These general Terms apply as a baseline framework alongside every SOW.
Digixon reserves the right to decline, pause, or terminate any engagement where a Client fails to provide necessary information, access, approvals, or payment required to complete the work.
06Fees, Payment & Refunds
Fees for client engagements, Digixon Academy courses, and any other paid Service are set out in the relevant SOW, course listing, or invoice. Unless otherwise agreed in writing:
- Invoices are due within the payment terms specified on the invoice.
- Late payments may result in a pause of active work, Deliverable withholding, or the application of late fees where permitted by law.
- Digixon Academy course refunds are governed by the refund policy published on the relevant course page at the time of enrollment.
- Digixon i2i is provided entirely free of charge; no fees or equity are taken from participating businesses.
- Where a third party (such as a recruitment or production partner) charges fees directly, those fees are governed by that partner's own terms, disclosed to the Client in advance.
Specific pricing, payment schedules, and refund windows should be confirmed in the SOW or course terms for each engagement — this section sets the general framework only.
07Intellectual Property Rights
Digixon's own IP. The Digixon name, logo, wordmark, Website design, and all proprietary frameworks, templates, and methodologies remain the exclusive property of Digixon and may not be copied, reproduced, or used without prior written consent.
Client Deliverables. Unless otherwise specified in a signed SOW, ownership of final Deliverables transfers to the Client upon full payment for the engagement. Digixon retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing.
Pre-existing IP. Any tools, templates, or frameworks Digixon owned prior to an engagement remain Digixon's property, even where used in the course of delivering Client work, and are licensed to the Client for use solely in connection with the relevant Deliverables.
Third-party content. Where Deliverables include licensed stock assets, fonts, or third-party software, those items remain subject to their original licence terms and are not owned outright by either party.
Digixon Publication authors. Authors publishing through Digixon Publication retain full copyright of their manuscript at every stage, as set out in Section 14 and the applicable publishing agreement.
08User Submissions & Proposals
Users may submit materials to Digixon in various contexts — including i2i business proposals, Startup Ideas pitches, manuscript submissions to Digixon Publication, art or story nominations to Digixon Art, and job applications to Digixon Hire or Digixon Careers.
By submitting such materials, you confirm that you own or have the right to share the content submitted, and you grant Digixon a limited licence to review, evaluate, and internally discuss the submission for the purpose it was submitted for. Digixon will not use confidential business information from an unsuccessful i2i or Startup Ideas submission to build a competing product, and will treat all submissions with reasonable confidentiality, but submitting an idea does not, by itself, create any partnership, investment, or contractual obligation on Digixon's part.
Selection for any programme (i2i, Academy scholarships, or similar) is at Digixon's sole discretion and is not guaranteed by meeting the stated eligibility criteria.
09Affiliate Links & Third-Party Marketplaces
The Digixon Books section may contain affiliate links to third-party marketplaces such as Amazon and Flipkart. If you make a purchase through one of these links, Digixon may earn a commission at no additional cost to you. This relationship is disclosed on the Books page.
Digixon does not process, fulfil, or take responsibility for any purchase made on a third-party marketplace. Any transaction, payment, delivery, return, or dispute arising from such a purchase is governed entirely by the terms and policies of that third-party marketplace, not by Digixon.
10Regulated Industries & Compliance Disclaimer
Digixon provides marketing services to Clients in regulated sectors, including but not limited to healthcare, BFSI (banking, financial services, and insurance), real estate, and education. Where applicable, Digixon will make reasonable efforts to build campaigns in line with relevant advertising and data-protection frameworks known to us at the time of the engagement.
However, the Client remains solely responsible for ensuring that its products, services, claims, and use of Digixon's Deliverables comply with all laws, regulations, and industry codes applicable to its business and jurisdiction — including but not limited to sector-specific advertising regulators, medical council rules, securities and insurance regulations, real estate disclosure laws, and data protection legislation. Digixon's compliance-aware approach does not constitute legal advice, and the Client should seek independent legal or regulatory counsel for its specific circumstances before publishing any campaign.
11Digixon Academy — Additional Terms
Enrollment in a Digixon Academy course grants you a personal, non-transferable licence to access the course materials for the stated duration. Course content, including recordings, slides, and templates, remains the intellectual property of Digixon and may not be redistributed, resold, or publicly shared.
Digixon Academy does not guarantee any specific employment, salary, or career outcome as a result of course completion. Where placement assistance is offered, it is provided on a best-effort basis and does not constitute a guarantee of a job offer.
12Digixon i2i — Additional Terms
Digixon i2i is a discretionary, non-contractual initiative offering free marketing consultation to selected businesses each quarter. Participation in i2i:
- Involves no fees charged to, or equity taken from, the participating business.
- Does not create an investment, partnership, joint venture, or employment relationship between Digixon and the business.
- Is subject to eligibility review and selection at Digixon's sole discretion; submitting a proposal does not guarantee selection.
- May be discontinued, paused, or modified by Digixon at any time, including mid-cohort in circumstances beyond Digixon's reasonable control.
13Digixon Hire — Additional Terms
Digixon Hire provides staffing and recruitment services, delivered in partnership with third-party recruitment partners. Digixon facilitates candidate sourcing and coordination but does not guarantee that any specific position will be filled within a given timeframe, nor that any candidate presented will accept an offer or perform to the Client's expectations.
Background verification, where offered, is conducted using industry-standard methods and information available at the time of screening; Digixon cannot guarantee the absolute completeness or accuracy of third-party verification data.
14Digixon Publication — Additional Terms
Authors engaging Digixon Publication retain full copyright of their manuscript throughout the publishing process. Specific royalty percentages, rights licensed to Digixon for distribution, and package inclusions are set out in a separate publishing agreement signed by the author prior to the commencement of work, which shall govern in the event of any conflict with these general Terms.
Digixon does not guarantee specific sales volumes, review outcomes, or media coverage for any published title.
15Careers & Recruitment
By submitting a job application or open application to Digixon, you consent to Digixon storing and reviewing your application materials for recruitment purposes, and to being contacted regarding current or future opportunities. Submission of an application does not guarantee an interview or offer of employment.
16Acceptable Use of the Website
You agree not to: (a) use the Website for any unlawful purpose; (b) attempt to gain unauthorised access to any part of the Website or its underlying systems; (c) scrape, harvest, or bulk-collect data from the Website without prior written consent; (d) upload or transmit any virus, malware, or harmful code; or (e) impersonate any person or entity in connection with your use of the Website.
Digixon reserves the right to suspend or restrict access to the Website for any User found to be in violation of this section.
17Privacy & Data Protection
Digixon's collection, use, and storage of personal data — including data submitted through contact forms, course enrollments, job applications, i2i submissions, and newsletter sign-ups — is governed by our Privacy Policy, which forms part of these Terms by reference. Where applicable, Digixon processes personal data in line with India's Digital Personal Data Protection Act, 2023, and other relevant data protection frameworks for Users located outside India.
18Confidentiality
Both Digixon and the Client agree to keep confidential any non-public business, financial, technical, or strategic information disclosed during the course of an engagement, and to use such information solely for the purpose of delivering or receiving the relevant Service. This obligation survives the termination of any engagement for a reasonable period, as further specified in the applicable SOW.
19Warranties & Disclaimers
Digixon provides its Services and Deliverables on an "as is" and "as available" basis. While Digixon commits to delivering work with professional skill and care, Digixon does not guarantee any specific marketing outcome, including but not limited to sales figures, lead volume, enrollment numbers, search rankings, follower growth, award wins, or return on investment. Marketing, sales, and business outcomes depend on numerous factors outside Digixon's control, including market conditions, competitor activity, and Client-side execution.
The Website and its Content are provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
20Limitation of Liability
To the fullest extent permitted by applicable law, Digixon's total liability arising out of or relating to any Service shall not exceed the total fees paid by the Client to Digixon for the specific engagement giving rise to the claim in the twelve (12) months preceding the event.
In no event shall Digixon be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
Some jurisdictions do not allow certain liability limitations; where applicable law prohibits a limitation described here, that limitation shall apply only to the extent permitted by law.
21Indemnification
You agree to indemnify and hold Digixon, its officers, employees, and partners harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right, including intellectual property or advertising-compliance obligations described in Section 10; or (c) content or claims you provided to Digixon that were later found to be inaccurate, unauthorised, or unlawful.
22Termination
Either party may terminate an active engagement in accordance with the termination clause of the applicable SOW. In the absence of a specific clause, either party may terminate an ongoing engagement with reasonable written notice, subject to payment for work completed up to the termination date.
Digixon reserves the right to suspend or terminate a User's access to the Website or any Service, without notice, in cases of suspected fraud, illegal activity, or material breach of these Terms.
23Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, labour disputes, internet or infrastructure outages, or public health emergencies.
24Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or any Service shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India, unless otherwise agreed in writing in a specific SOW.
Clients engaging Digixon from outside India should confirm jurisdiction and applicable consumer-protection requirements with legal counsel, as certain local laws may still apply regardless of this clause.
25Changes to These Terms
Digixon may update these Terms from time to time to reflect changes in its Services, legal requirements, or business practices. The "Last Updated" date at the top of this page will be revised accordingly. Continued use of the Website or Services after an update constitutes acceptance of the revised Terms. Material changes affecting active engagements will be communicated directly to affected Clients.
